These Terms of Service ("Terms") govern your access to and use of the Trient IPO Centre website and Investor Portal (together, the "Service"). By requesting an account or using the Service, you agree to these Terms. Please read them carefully.
The Service is provided by the operator of the Trient IPO Centre ("we", "us", "our"). References to "you" mean the individual who registers for or uses the Service. Where you use the Service on behalf of an organisation, you confirm you are authorised to accept these Terms on its behalf.
Access to the Investor Portal is by invitation and is reserved for clients who meet the eligibility criteria for a given offering. To use the Service you must:
We may decline, suspend or withdraw access at our discretion, including where eligibility or verification requirements are not met.
You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. Notify us immediately if you suspect any unauthorised use. We may require you to complete identity verification ("KYC") before your account is activated, and we may set a deadline by which verification must be completed. Accounts that do not complete verification within the stated period may be rejected automatically.
The Service provides information about offerings and lets eligible clients register interest. Nothing on the Service is, or should be relied on as, investment, legal, tax or financial advice, or a personal recommendation. We do not assess whether any offering is suitable or appropriate for you. You should read the relevant prospectus or offering documents in full and seek independent professional advice before applying.
Registering interest in an offering is an expression of interest only and does not create a binding commitment to allocate shares to you, nor an obligation on you to invest, until an allocation is confirmed in writing. Offerings, prices, minimums and timelines are indicative and may change or be withdrawn at any time before an allocation is confirmed. Allocations are discretionary and are not guaranteed.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

Investing carries risk. The value of investments can fall as well as rise and you may get back less than you invested. Pre-listing and newly listed shares can be especially volatile and illiquid. Please read our Risk Disclosure for more detail before applying to any offering.
The Service is provided "as is" and "as available". To the fullest extent permitted by law, we exclude all warranties not expressly stated in these Terms, and we are not liable for any loss arising from investment decisions you make, from your reliance on information provided through the Service, or from any interruption or unavailability of the Service. Nothing in these Terms limits any liability that cannot lawfully be limited.
We may suspend or terminate your access to the Service at any time if you breach these Terms, if required by law or regulation, or to protect the Service or other users. You may stop using the Service at any time.
We may update these Terms from time to time. Where changes are material, we will take reasonable steps to notify you. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
These Terms are governed by the laws of Ireland, and the courts of Ireland have exclusive jurisdiction over any dispute, subject to any mandatory rights you have under the law of your country of residence.
